Advertiser Master Services Terms & Conditions
People-N-Pets Inc. (Amazing Pet Directory) is an internet-based advertising company. People-N-Pets Inc, provides you, and any of your Affiliates (defined below) that participate in these terms and conditions by executing an Insertion Order. By giving “the company” People-N-Pets Inc. your information and payment information for the advertisement to appear in Amazing Pet Directory, you have entered in a legally binding contract with People-N-Pets, Inc. (Amazing Pet Directory). You represent and warrant that you are authorized to act on behalf of, and bind to this Agreement, any third party for which you generate ads.
By rendering payment for your ad to appear in the Amazing Pet Directory you are in agreement to all the policies and provisions as stated below. The Company People-N-Pets Inc. retains the copyrights to the Amazing Pet Directory.
The Company People-N-Pets Inc. reserves the right to reject any content deemed, by the Company, to be unacceptable in the form or inappropriate in content. You represent, warrant and covenant that you have sufficient authority to enter into the Agreement and that your use of People-N-Pets Inc services is solely for lawful commercial and business purposes.
Policies
The Advertiser shall provide the qualifying content for their advertisement and E-coupons.
Provided content or People-N-Pets Inc. purchased content, the Advertiser agrees to indemnify and grant permission to People-N-Pets Inc. (Amazing Pet Directory) to produce and replicate (or duplicate) the Advertiser’s content, and that we are not infringing upon the rights or copyrights of any third party. Advertiser permits People-N-Pets Inc to add their PNPAPD Code to all E-Coupons created.
Prohibited Uses
You shall not, and shall not authorize any party to: (a) advertise anything illegal or engage in any illegal or fraudulent business practice in any state or country where your ad is displayed. You represent and warrant that (x) all your information is correct and current; (y) you hold and grant People-N-Pets Inc, Amazing Pet Directory all rights to copy, distribute and display your ads ("Use"); and (z) such Use and websites linked from your ads (including services or products therein) will not violate or encourage violation of any applicable laws. Violation of these policies may result in immediate termination of this Agreement or your account without notice and may subject you to legal penalties and consequences.
Disclaimer and Limitation of Liability.
Advertiser agrees to hold “the company” as known herein as People-N-Pets Inc., harmless against any losses, damage, expenses, and legal costs.Neither party is liable for failure or delay resulting from a condition beyond the reasonable control of the party, including but not limited to acts of God, government, terrorism, natural disaster, labor conditions and power failures. The Company People-N-Pets Inc., in no way, guarantees, promises, nor implies the effectiveness of the Internet-based Amazing Pet Directory advertising solution.
Payment
Under the terms of this agreement the Advertiser agrees to pay “the Company” People-N-Pets Inc., for the creation and display of their AD in the Amazing Pet Directory for the period of one year per the advertising rates disclosed to the Advertiser in the rate card, or discounted rates provided by the employees of People-N-Pets Inc to the Advertiser. Once the Advertiser has provided People-N-Pets Inc with payment information, and their payment transaction has been processed, all orders are deemed final and subject to a non refundable policy, and the Advertiser is bound by the terms and policies of this agreement. Should any disputes be filed by the Advertiser, the Advertiser agrees to pay all legal fees and court costs incurred in the collection of any unpaid balances, or disputes. As the Advertiser you also acknowledge and agree that any credit card and related billing and payment information that you provide to People-N-Pets Inc. may be shared by People-N-Pets Inc, with companies who work on People-N-Pets Inc behalf, such as payment processors and/or credit agencies, solely for the purposes of checking credit, effecting payment to People-N-Pets Inc and servicing your account. People-N-Pets Inc may also provide information in response to valid legal process, such as subpoenas, search warrants and court orders, or to establish or exercise its legal rights or defend against legal claims. People-N-Pets Inc shall not be liable for any use or disclosure of such information by such third parties.
Indemnification.
You shall indemnify, defend and hold People-N-Pets Inc, Amazing Pet Directory, its agents, affiliates, and licensors harmless from any third party claim or liability (including without limitation reasonable legal fees). The Advertiser shall hold “the Company” harmless against losses, damage, expenses, and legal costs. The Advertiser further hereby indemnifies in relation to the replication (or duplication) of the aforesaid titles not liable for any claims, threats, suits, penalties, liabilities costs, and expenses including and without limitation to any legal fees and expenses arising out of any claim incurred by reason of or any other applicable status or comparable law of any other jurisdiction The Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof. Any conflicting or additional terms contained in additional documents (e.g. reference to a purchase order number) or oral discussions are void. You may grant approvals, permissions and consents by email, but any modifications to the Agreement must be made in writing (not including email) executed by both parties. Any notices to People-N-Pets Inc, (Amazing Pet Directory) must be sent to: People-N-Pets Inc, PO box 1516, Tarpon Springs, FL 34688-1516 with a copy to the Legal Department, via first class or air mail or overnight courier, and are deemed given upon receipt. Notice to you is acceptable by sending email to your specified email address and is deemed received when sent. A waiver of any default is not a waiver of any subsequent default. Unenforceable provisions will be modified to reflect the parties' intention, and remaining provisions of the Agreement will remain in full effect. You may not assign any of your rights hereunder and any such attempt is void.
Refund Policy
All sales are final and non-refundable. Once payment has been received from the Advertiser by People-N-Pets Inc for the Amazing Pet Directory, the payment is non-refundable.
Should we make a mistake on your AD after you have given us the final proof authorization via your email and per our instructions, you will receive one free year of advertising as per the original insertion order specifications or an in-house credit for the one free year of your AD per the original insertion order specifications to be redeemed within one calendar year of the original date of the insertion order.
